ANNUAL CORPORATE COMPLIANCE ISSUES
October 2016 – MURRIETA CHAMBER PRESENTATION
If you operate your company as a Corporation, Limited Liability Company, Limited Partnership, or other entity with Limited Liability Protection, your “shield” of protection may be in jeopardy if you do not maintain the entity under securities and other regulations requiring certain formalities. If these formalities are ignored or inadequately documented, you may be found “personally” liable for the debts and obligations of the entity. Below are presented some of the most important issues that are relevant and may expose you unnecessarily if not properly addressed on at least an annual basis:
• Ownership Interests – Has there been a sale of Stock or Membership Interests?
• Grants or Warrants – Has anyone or any entity been granted a contingent or other right to acquire an ownership interest in the Entity?
• “Material Events” – Have any events taken place in your business that require Board or other approval? Documentation? Disclosure? Contract review?
• Employment (or Officer/Board Member) Agreements – Any obligation to pay set sums? Defer? Bonus or other Contingency agreements?
• Officers & Directors – Any changes made? Contemplated? Resignations or terminations?
• Litigation – Any litigation of “material significance” to the Entity which requires special handling or disclosure?
• Insurance – Any “claims made or incurred”? Disclosed as required? Coverage assured?
• Dividends/ Taxes/ Allocations – Any disbursements or other allocations to Shareholders? Partners? Members?
• Corporate Compliance - All appropriate annual State (or Federal) forms filed? Held Annual Meeting of Shareholders? Board Elections and Meeting? all appropriate Minutes.
• Intellectual Property - Appropriately registered all Trademarks, Servicemarks? Considered (or filed) Patent Applications (as appropriate)? Registered Domain Names? Secured IP rights in Websites and other Marketing or other Literature ?
